Job Description: Middle - Senior Associate (Hong Kong IPO)

Key Responsibilities
As a core member of the team, you will act as the deal lead to drive execute Hong Kong IPOs (Red-chip H-share) fhigh-profile clients. Your responsibilities will include, but are not limited to:
1. Deal Execution & Management: Act as the primary day-to-day lead on Hong Kong IPO projects. Oversee PRC legal due diligence, structure corporate restructurings, design VIE/Red-chip structures, draft/review core legal documents.
2. Regulatory & Compliance: Manage overseas listing procedures, including CSRC filings (under the new regulatory framework) HKEX hearing inquiries. Ensure the highest quality of PRC legal opinions supervise the verification process.
3. Transaction Coordination: Serve as the key liaison fthe firm, communicating effectively with corporate executives, investment bankers (Sponsors), offshore legal counsels, auditors, regulators.
4. Team Mentorship: Supervise, mentor, review the work of juniassociates, legal assistants, paralegals to ensure seamless deal execution.
5. Legal Research: Track analyze the latest updates in HKEX Listing Rules, CSRC filing regulations, emerging industry compliance trends to provide cutting-edge solutions fclients.
Qualifications
We are looking fan ambitious self-driven professional with a solid track record in the capital markets space:
1. Education: LL.B. and/LL.M./J.D. from a prestigious domestic overseas law school ("Top Five Law Schools Four Faculties" equivalent top-tier global institutions).
2. Experience: 3 to 7 years of post-qualification experience (PQE) focusing on Hong Kong IPOs (Red-chip H-share).
3. Core Competencies:
- Must have independently led successfully executed at least 2 completed late-stage HKEX listing projects;( fsenirole)
- Deep understanding of Red-chip/VIE restructuring, H-share structures, cross-border foreign exchange compliance (e.g., SAFE Circular 37), relevant tax implications;
- Strong familiarity with the practical implementation of the CSRC Overseas Listing Filing Regulations.
4. Language Skills: Native near-native Mandarin Chinese. Exceptional professional proficiency in English (written spoken) is mandatory; must be capable of drafting complex legal documents negotiating with international intermediaries independently.
5. Bar Admission:Passed the PRC Bar (A-level Certificate) is mandatory. Qualification in Hong Kong New York State is a significant plus.
6. Soft Skills: Strong resilience under pressure, exceptional multi-tasking abilities, demonstrated leadership potential.
