公司前身陕西靖西天然气输气有限责任公司,于1995年1月20日经陕西省陕政办函[1994]124号文批准设立。2001年1月19日,靖西天然气公司经股权重组后更名为陕西省天然气有限责任公司。2005年,在对原陕西省天然气有限责任公司进行增资扩股后,于当年11月1日整体变更为外资比例低于25的中外合资股份有限公司。
公司是经中华人民共和国商务部商资批[2005]2066号文批准,于2005年11月1日,由陕西省天然气有限责任公司整体变更设立的股份有限公司。公司的发起人陕投集团、天河能源、西部信托、秦龙电力和澳门华山,以公司截至2005年6月30日经审计的净资产408,418,675元,按1:1的比例折合股本408,418,675股。
