海外法务岗位职责

岗位职责：
1、涉外合同审核与管理；
2、维护海外律师库及律师管理；
3、独立解决海外纠纷与诉讼应对；
4、优化海外风控体系；
任职要求：
1. 海外法律实务能力扎实：具备独立统筹、处理海外法律事务及专项项目的实战经验，熟悉海外合规、合同、涉外风险处置，可独立推进涉外法务全流程工作。
2. 英文能力流利：英语口语流利，可无障碍开展全英文沟通、涉外谈判、英文文书审阅及境外对接工作。
3. 具备较强的涉外风险研判、合规管控及项目闭环能力，逻辑严谨、专业性强，能独立承担海外法务专项工作。

职责描述：
•Ensuring the efficient provision of legal advice to internal clients on a wide range of legal issues such as sales, purchase, intellectual property, corporate, commercial business, operation, R&D, lablaw issues etc. related to overseas;
负责就销售、采购、知识产权、公司事务、商业经营、运营事项、研发、以及劳动等涉外法律事务向内部客户提供有效的法律意见；
•Effective efficient management resolution of disputes/litigations/arbitration;
对争议纠纷、诉讼仲裁等进行有效、高效地管理和解决；
•Conducting legal research advising the business on changes in laws regulations;
开展法律研究，为联影提供法律法规变化实务运用进行咨询；
•Reviewing, drafting, localizing, advising on negotiating all forms of contracts templates related to overseas elements;
审查、起草各种形式的涉外合同和模板，落实全球合同本土化工作，参与合同谈判、提供咨询意见；
•Supervising managing overseas external counsels monitoring billing guidelines/legal professional fees cost control;
监督并管理涉外外部法律顾问、监督外部服务费用成本控制；
•Leading overseas corporate governance matters;
主导公司海外治理事项；
•Reviewing localizing legal related policies procedures deliver trainings on legal policies as well as updated laws regulations;
审阅、复核与法律相关的公司政策、流程和制度，落实海外本土化流程和制度，并进行相关培训；
•Supporting Investment, Mergers & Acquisition other related matters;
支持集团投融相关法律事务；
•Performing other related duties as assigned requested by senimanagement.
其他领导交办的重大项目和事务。
任职要求：
•Bachelor’s degree above in Law (essential);
法律专业本科或以上学位（必需）；
•Admitted to Chinese bar (essential).
获得中国法律职业资格证（必需）。
•At least 1-2 years experience gained in-house in a reputable firm;
至少在大型公司或知名律所至少1-2年的工作经验
•Compliance/legal experience in pharmaceutical medical device industry is preferred;
在制药或医疗器械行业拥有合规或法务经验者优先；
•Experience in law firms is preferred;
拥有过在律师事务所工作经验者优先；
•Excellent verbal written communication skill ability to communicate with a wide range of internal external stakeholders across different cultures;

【岗位职责】
1. 业务法务支持
· 作为法务接口人，对接海外业务团队，提供日常法律咨询和支持。
· 参与海外业务会议，从法律角度提示风险并提供解决方案。
2. 合同事务
· 负责海外业务各类中英文合同的起草、审核与谈判。
· 梳理优化合同审核流程，推动合同模板化，提升审核效率。
3. 法律事务管理
· 负责海外公司设立、变更及日常运营相关的法律文件处理。
· 协调外部律所资源，处理海外法律事宜。
· 开展海外市场法律法规调研，为业务决策提供法律支持。
【任职资格】
1. 教育背景
· 全日制法学本科及以上学历，持有法律职业资格证书。
· 有海外法学教育背景者优先。
2. 工作经验
· 3年以上涉外法务工作经验，需有东南亚或美国法务工作经验。
· 有律所或企业法务经验均可。
3. 专业技能
· 语言能力： 能够以英语作为工作语言，熟练审阅和起草英文合同，进行英文商务沟通。
· 专业能力： 熟悉合同法、公司法等基础法律，了解国际商事法律基本原则。
4. 综合素质
· 沟通能力： 能够与业务部门顺畅沟通，理解业务需求。
· 执行力： 工作踏实，能够独立处理分配的任务，按时交付。
· 学习能力： 愿意学习了解海外不同市场的法律要求。
· 抗压能力： 能够适应跨国时差沟通，接受偶尔出差。
