China Merchants Fund Management Co., Ltd. was approved for establishment on December 27, 2002 by the China Securities Regulatory Commission (CSRC) Document (2002) No. 100, and is China's * first Sino-foreign joint venture fund management company. The company's business scope includes initiating and establishing funds, fund management business, and other businesses approved by the CSRC.
After review and approval by the shareholders' meeting of China Merchants Fund Management Co., Ltd. (hereinafter referred to as "the Company"), and with the approval of the China Securities Regulatory Commission under CSRC License [2013] No. 1074, the Company's original shareholder ING Asset Management B.V. transferred its 21.6% equity interest in the Company to China Merchants Bank Co., Ltd. and 11.7% equity interest to China Merchants Securities Co., Ltd. As of October 2013, the relevant industrial and commercial change registration procedures for this equity transfer have been completed. At present, the Company's shareholder equity structure is: China Merchants Bank Co., Ltd. holds 55% of all equity in the Company, and China Merchants Securities Co., Ltd. holds 45% of all equity in the Company. The Company's registered capital is RMB 210 million. At present, China Merchants Fund has two wholly-owned subsidiaries, namely China Merchants Wealth Asset Management Co., Ltd. and China Merchants Asset Management (Hong Kong) Co., Ltd.
