为确保安徽省铁路建设资金投入和中长期融资偿债，缓解铁路建设资金紧张局面，促进铁路项目顺利建设，实现现有财政投入等铁路资金的投资增值、融资担保和还本付息功能，放大政府性资金使用效果，2011年9月，省政府批准设立安徽省铁路建设投资基金（皖政秘〔2011〕336号）。2013年3月，安徽省铁路建设投资基金有限公司正式成立。2016年8月，根据省政府决策部署，改制为安徽省铁路发展基金股份有限公司。
安徽省铁路发展基金股份有限公司注册资本为300亿元，其中，安徽省投资集团出资额为140亿元，占比46.6667%，安徽省皖投铁路投资管理有限公司出资额为127.1亿元，占比42.3667% ，安徽省地质勘查基金管理中心出资额为20亿元，占比6.6666%，国开发展基金有限公司出资12.9亿元，占比4.3%。
