公司是由二重集团德阳重型装备有限责任公司整体变更而设立的股份有限公司。重装公司全体股东作为发起人,各自以其所持股权所对应的净资产全部投入到公司。公司总股本为1,390,000,000股,每股面值1元,是由重装公司2007年7月31日经审计后的净资产2,120,362,944.61元按1:0.65554815的比例折股而成,未全部折股的余额730,362,944.61元计入公司资本公积。
公司上述国有股权设置方案已经国务院国资委《关于二重集团德阳重型装备股份有限公司国有股权管理有关问题的批复》国资产权[2007]1106号批准。
上海证券交易所将在5月21日对公司股票予以摘牌,公司股票终止上市。
2018年3月,公司名称由二重集团德阳重型装备股份有限公司变更为国机重型装备集团股份有限公司。
